1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and Trade Systems ABN [insert ABN] ("Trade Systems", "we", "us", or "our"), a company registered in New South Wales, Australia.

By accessing or using our website at tradesystems.com.au and any services provided through the platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use our services.

2. Description of Services

Trade Systems provides a software-as-a-service (SaaS) platform designed for Australian trade businesses. Our services include, but are not limited to:

  • Professional website design, hosting, and management.
  • AI-powered phone answering and call management.
  • Automated Google review collection and reputation management.
  • Online appointment booking systems.
  • SMS and email marketing campaigns.
  • Lead management and analytics dashboards.
  • Search engine optimisation (SEO) services.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with reasonable notice where practicable.

3. Account Registration

To access certain features of our services, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information.
  • Maintain and promptly update your account information.
  • Keep your login credentials confidential and secure.
  • Accept responsibility for all activities that occur under your account.

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our services.

4. Pricing and Billing

All prices are displayed in Australian dollars (AUD) and are inclusive of GST unless otherwise stated. By subscribing to a paid plan, you agree to the following:

  • Subscription fees: you will be charged the applicable monthly subscription fee for your chosen plan. Fees are billed in advance on a recurring monthly basis.
  • Payment method: you authorise us to charge your nominated payment method for all applicable fees.
  • Price changes: we may adjust pricing with at least 30 days' written notice. Continued use of the services after a price change constitutes acceptance of the new pricing.
  • Failed payments: if a payment fails, we may suspend access to your account until the outstanding amount is resolved.
  • Refunds: we offer a 30-day money-back guarantee for new subscribers. After this initial period, subscription fees are non-refundable. No refunds are provided for partial months of service.
  • No setup fees: there are no upfront setup fees for any of our plans.

5. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You must not:

  • Use the services in any way that violates any applicable Australian or international law or regulation.
  • Transmit any unsolicited or unauthorised advertising, spam, or promotional material through our platform.
  • Attempt to gain unauthorised access to any part of the services, other accounts, or computer systems.
  • Introduce viruses, trojans, worms, or other malicious or technologically harmful material.
  • Use the services to infringe upon the intellectual property rights of any third party.
  • Resell, sublicense, or redistribute our services without prior written consent.

6. Intellectual Property

All intellectual property rights in the Trade Systems platform, including but not limited to software, website templates, designs, logos, trademarks, text, graphics, and documentation, are owned by or licensed to Trade Systems.

  • Our content: you may not copy, reproduce, modify, distribute, or create derivative works from any Trade Systems materials without our express written permission.
  • Your content: you retain ownership of any content, data, or materials you upload or provide through our services. By using our services, you grant us a limited, non-exclusive, royalty-free licence to use, display, and process your content solely for the purpose of providing our services to you.
  • Website ownership: websites built by Trade Systems on your behalf are provided as part of your subscription. Custom design elements and code created specifically for your business remain available to you for the duration of your active subscription.

7. Data and Privacy

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our services, you consent to the data practices described in our Privacy Policy.

You are responsible for ensuring that any personal data you provide to us or process through our services (including data about your own customers) is collected and handled in compliance with applicable privacy laws, including the Privacy Act 1988 (Cth).

8. Service Availability and Support

We strive to maintain high availability of our services but do not guarantee uninterrupted or error-free access. We may perform scheduled maintenance with reasonable notice. We are not liable for any downtime, interruptions, or delays caused by factors beyond our reasonable control.

Support is provided in accordance with your subscription plan. All plans include email support, with priority support and dedicated account management available on higher-tier plans.

9. Limitation of Liability

To the maximum extent permitted by law, including the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010):

  • Trade Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of our services.
  • Our total aggregate liability to you for any claims arising under these Terms shall not exceed the total fees paid by you to Trade Systems in the twelve (12) months immediately preceding the event giving rise to the claim.
  • Nothing in these Terms excludes, restricts, or modifies any consumer guarantees or other rights that cannot be excluded under Australian law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Trade Systems, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of our services.
  • Your breach of these Terms.
  • Your violation of any applicable law or the rights of any third party.
  • Any content or data you provide through our platform.

11. Termination

Either party may terminate the subscription and these Terms as follows:

  • By you: you may cancel your subscription at any time through your account settings or by contacting us at hello@tradesystems.com.au. Cancellation takes effect at the end of your current billing cycle. No refunds are provided for the remaining period.
  • By us: we may suspend or terminate your access to the services immediately if you breach these Terms, engage in fraudulent or illegal activity, or fail to pay outstanding fees after reasonable notice.
  • Effect of termination: upon termination, your right to access and use the services will cease. We may retain your data for a reasonable period to comply with legal obligations, after which it will be securely deleted.

There are no long-term contracts or lock-in periods. You are free to cancel your subscription at any time without penalty.

12. Dispute Resolution

In the event of a dispute arising out of or in connection with these Terms, the parties agree to attempt to resolve the matter in good faith through negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may refer the matter to mediation administered by the Australian Disputes Centre (ADC) in Sydney, New South Wales, before commencing any court proceedings.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. You irrevocably submit to the exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia, and any courts entitled to hear appeals from those courts, in respect of any proceedings arising out of or in connection with these Terms.

14. General Provisions

  • Entire agreement: these Terms, together with our Privacy Policy, constitute the entire agreement between you and Trade Systems regarding the use of our services.
  • Severability: if any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: you may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Amendments: we reserve the right to update or modify these Terms at any time. Material changes will be communicated via email or a prominent notice on our website. Continued use of our services after such changes constitutes acceptance.
